These Terms & Conditions (“Terms“) constitute a legally binding agreement between Foundation Aminos Inc. (“Foundation Aminos,” “Company,” “we,” “our,” or “us“) and any individual or entity (“Purchaser,” “User,” “you,” or “your“) who accesses, browses, or otherwise uses our website, purchases products, creates an account, or interacts with our online services (collectively, the “Site“).

These Terms govern your access to and use of the Site and all purchases made through Foundation Aminos Inc. They should be read together with our Privacy Policy, which explains how we collect, use, and protect your personal information, and our Research Use Only (RUO) Policy, which governs the intended use and handling of Products designated for laboratory research purposes. Together, these documents form the legal framework governing your relationship with Foundation Aminos Inc.

By accessing the Site, creating an account, placing an order, or purchasing any Product from Foundation Aminos Inc., you acknowledge that you have read, understood, and agree to be legally bound by these Terms and the policies incorporated herein by reference. If you do not agree to these Terms, you must discontinue use of the Site immediately.

1. Eligibility to Purchase

By using this Site or purchasing any Product, you represent and warrant that:

  • You are at least twenty-one (21) years of age, or the age of legal majority in your jurisdiction, whichever is greater.

  • You have the legal authority to enter into binding agreements.

  • You are legally permitted to purchase, possess, receive, and use research materials under all applicable federal, state, local, and international laws.

  • You are purchasing Products solely for lawful purposes consistent with these Terms.

Foundation Aminos Inc. reserves the right to request age or identity verification and may refuse or cancel any order if we reasonably believe these requirements have not been satisfied.

2. Research Use Only Products

All Products sold by Foundation Aminos Inc. are offered exclusively for lawful laboratory research purposes.

Unless expressly stated otherwise, Products sold by Foundation Aminos Inc. are Research Use Only (“RUO”) materials and are not intended for:

  • Human consumption;

  • Veterinary use;

  • Injection, inhalation, ingestion, or topical application;

  • Clinical or diagnostic procedures;

  • Medical treatment or therapeutic use;

  • Manufacture of drugs, biologics, medical devices, cosmetics, or food products;

  • Diagnosis, treatment, cure, mitigation, or prevention of any disease or medical condition.

Purchasers are solely responsible for ensuring that all Products are used in accordance with applicable laws, regulations, institutional policies, and accepted laboratory practices.

Any use of Products inconsistent with these Terms is strictly prohibited.

3. Regulatory Status

Foundation Aminos Inc. is a supplier of laboratory research materials.

Foundation Aminos Inc. is not:

  • A licensed pharmacy;

  • A compounding pharmacy operating under Section 503A of the Federal Food, Drug, and Cosmetic Act;

  • An outsourcing facility operating under Section 503B of the Federal Food, Drug, and Cosmetic Act;

  • A healthcare provider;

  • A medical laboratory;

  • A manufacturer or dispenser of prescription medications.

Nothing contained on the Site should be interpreted as medical advice, pharmaceutical guidance, or a representation that any Product is approved for human or veterinary use.

Statements appearing on this Site have not been evaluated by the United States Food and Drug Administration unless expressly stated otherwise.

4. Purchaser Responsibilities

By purchasing from Foundation Aminos Inc., you acknowledge and agree that:

  • You possess the knowledge, training, and experience necessary to safely handle laboratory research materials.

  • You will store, handle, transport, and dispose of Products in accordance with applicable laws and accepted laboratory safety standards.

  • You will use appropriate laboratory facilities, engineering controls, and personal protective equipment.

  • You assume all responsibility for compliance with local, state, federal, and international laws applicable to your purchase and use of Products.

  • You will not represent any Product as approved for human or veterinary use.

  • You understand the risks associated with laboratory research materials and voluntarily assume those risks.

Foundation Aminos Inc. shall have no responsibility for Purchaser’s handling, storage, transportation, testing, or use of any Product following delivery.

5. Orders, Pricing & Product Availability

All orders are subject to acceptance by Foundation Aminos Inc.

We reserve the right, at our sole discretion, to:

  • Refuse or cancel any order;

  • Limit quantities purchased;

  • Correct pricing, typographical, photographic, or descriptive errors;

  • Discontinue Products without notice;

  • Restrict sales to particular persons, organizations, jurisdictions, or geographic regions where permitted by law.

Prices, product availability, specifications, packaging, and descriptions are subject to change without prior notice.

Receipt of an order confirmation does not constitute acceptance of an order. An order is deemed accepted only when shipped by Foundation Aminos Inc.

If an order is canceled after payment has been authorized, any applicable refund will be issued using the original payment method unless otherwise required by law.

6. Payment Terms

All prices are listed in U.S. Dollars unless otherwise indicated.

Payment in full is required before Products are shipped.

By submitting payment information, you represent and warrant that:

  • You are authorized to use the selected payment method;

  • The information provided is complete and accurate;

  • You authorize Foundation Aminos Inc. and its payment processors to charge the full purchase amount, including applicable taxes, shipping charges, and authorized fees.

Foundation Aminos Inc. reserves the right to delay, decline, or cancel any transaction suspected of fraud, unauthorized activity, or violation of these Terms.

7. Shipping & Delivery

Foundation Aminos Inc. will make commercially reasonable efforts to process and ship orders promptly; however, all shipping timeframes are estimates only and are not guaranteed.

Shipping delays caused by carriers, weather events, customs inspections, supply chain disruptions, force majeure events, or circumstances beyond our reasonable control shall not constitute a breach of these Terms.

Purchasers are responsible for providing complete and accurate shipping information at the time an order is placed. Foundation Aminos Inc. shall not be responsible for delays, losses, or additional costs resulting from incorrect or incomplete shipping information provided by the Purchaser.

Foundation Aminos Inc. reserves the right to select the shipping carrier unless a specific shipping method is offered and purchased during checkout.

8. Returns, Refunds & Order Cancellations

Due to the nature of our Products and to maintain product integrity, regulatory compliance, and quality assurance, all sales are considered final.

Once an order has been submitted and payment has been processed, it cannot be canceled or modified.

Foundation Aminos Inc. does not accept returns or exchanges of Products that have left our possession, except where required by applicable law.

Refunds will not be issued for, including but not limited to:

  • Change of mind;

  • Ordering the incorrect Product or quantity;

  • Failure to review Product descriptions or specifications prior to purchase;

  • Refused deliveries;

  • Incorrect shipping information provided by the Purchaser;

  • Delays caused by shipping carriers or customs authorities.

If your order arrives damaged, incomplete, or materially incorrect, you must notify Foundation Aminos Inc. within seven (7) calendar days of confirmed delivery. We reserve the right to request photographs, shipping documentation, or additional information before determining an appropriate resolution.

Foundation Aminos Inc. reserves the sole right to determine the appropriate remedy, which may include replacement of the affected Product, issuance of store credit, or another remedy deemed appropriate under the circumstances.

Unauthorized returns will not be accepted.

9. Intellectual Property

All content available on the Site, including but not limited to text, graphics, logos, trademarks, product names, images, videos, software, downloadable materials, product descriptions, page layouts, and other content, is the exclusive property of Foundation Aminos Inc. or its licensors and is protected under applicable United States and international intellectual property laws.

No portion of the Site may be copied, reproduced, modified, distributed, published, transmitted, displayed, or otherwise used without the prior written consent of Foundation Aminos Inc.

Nothing contained within the Site grants any license or right to use any trademark, logo, trade name, copyrighted material, or other intellectual property belonging to Foundation Aminos Inc. except as expressly authorized in writing.

10. Acceptable Use & Prohibited Conduct

You agree not to use the Site or any Product for any unlawful, unauthorized, or prohibited purpose.

Without limitation, you agree that you will not:

  • Use any Product in a manner inconsistent with its Research Use Only designation;

  • Violate any applicable law or regulation;

  • Misrepresent the intended use or regulatory status of any Product;

  • Attempt to circumvent the security or operation of the Site;

  • Interfere with the functionality or availability of the Site;

  • Introduce malicious software or harmful code;

  • Scrape, harvest, copy, or automate access to Site content without authorization;

  • Infringe upon the intellectual property rights of Foundation Aminos Inc. or any third party.

Foundation Aminos Inc. reserves the right to investigate suspected violations and cooperate with law enforcement or regulatory authorities where appropriate.

11. Disclaimer of Warranties

THE SITE, ALL PRODUCTS, AND ALL INFORMATION PROVIDED BY FOUNDATION AMINOS INC. ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

FOUNDATION AMINOS INC. MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR UNINTERRUPTED AVAILABILITY.

Foundation Aminos Inc. does not warrant that:

  • The Site will always be available or error-free;

  • Products will satisfy any particular research objective;

  • Information presented on the Site is free from typographical or technical errors;

  • The Site will remain free from viruses or other harmful components.

Purchasers assume all risks associated with the selection, handling, storage, transportation, and use of Products.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FOUNDATION AMINOS INC, INCLUDING ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, CONTRACTORS, AFFILIATES, SUCCESSORS, AND ASSIGNS, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO:

  • ACCESS TO OR USE OF THE SITE;

  • THE PURCHASE OR USE OF ANY PRODUCT;

  • DELAYS OR INTERRUPTIONS IN SHIPPING;

  • PRODUCT HANDLING, STORAGE, TRANSPORTATION, OR DISPOSAL;

  • MISUSE OF ANY PRODUCT;

  • LOSS OF BUSINESS, REVENUE, PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.

IN NO EVENT SHALL FOUNDATION AMINOS INC’S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT ACTUALLY PAID BY THE PURCHASER FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

Certain jurisdictions do not permit limitations on certain warranties or damages. In such jurisdictions, this limitation shall apply only to the maximum extent permitted by law.

13. Assumption of Risk

Purchasers acknowledge that laboratory research materials may present chemical, biological, or physical hazards if improperly handled.

By purchasing Products from Foundation Aminos Inc., you voluntarily assume all risks associated with the purchase, possession, storage, handling, transportation, testing, and use of such Products.

Foundation Aminos Inc. exercises no control over the conditions under which Products are stored or used after delivery and expressly disclaims responsibility for any resulting injury, damage, loss, or liability.

14. Indemnification

You agree to defend, indemnify, and hold harmless Foundation Aminos Inc., its owners, officers, directors, employees, contractors, suppliers, affiliates, successors, and assigns from and against any and all claims, actions, liabilities, damages, judgments, settlements, fines, penalties, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • Your purchase, possession, storage, handling, transportation, resale, or use of any Product;

  • Your violation of these Terms;

  • Your violation of any applicable law or regulation;

  • Your negligent, reckless, or intentional conduct;

  • Any claim arising from the misuse or unauthorized use of Products purchased from Foundation Aminos Inc.

This indemnification obligation shall survive termination of these Terms and completion of any transaction.

15. Right to Refuse Service & Termination

Foundation Aminos Inc. reserves the right, in its sole discretion and without prior notice, to refuse service, reject or cancel orders, suspend accounts, restrict access to the Site, or terminate any business relationship for any lawful reason, including but not limited to:

  • Suspected fraud or unauthorized transactions;

  • Violations of these Terms;

  • Suspected misuse of Products;

  • Compliance with applicable laws or regulatory obligations;

  • Conduct that may expose Foundation Aminos Inc. to legal, financial, or reputational risk.

Termination of access shall not affect any rights or obligations that accrued prior to termination, including payment obligations, indemnification provisions, limitations of liability, or intellectual property rights.

16. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how Foundation Aminos Inc. collects, uses, stores, and protects personal information. By using the Site, you acknowledge that you have reviewed and agree to our Privacy Policy, which is incorporated into these Terms by reference.

17. Export Compliance

Purchasers are solely responsible for ensuring that the purchase, importation, exportation, possession, transportation, and use of Products complies with all applicable federal, state, local, and international laws and regulations.

Foundation Aminos Inc. makes no representation that Products are lawful for purchase, shipment, possession, or use in every jurisdiction. Orders may be refused or canceled where shipment would violate applicable laws or regulations.

18. Force Majeure

Foundation Aminos Inc. shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, labor disputes, supply chain disruptions, shortages of materials, transportation interruptions, carrier delays, governmental actions, public health emergencies, power outages, cyberattacks, or failures of communication systems.

Performance shall be suspended for the duration of the event, and Foundation Aminos Inc. shall use commercially reasonable efforts to resume performance as soon as practicable.

19. Governing Law & Venue

These Terms and any dispute arising out of or relating to the Site, any Product, or any transaction with Foundation Aminos Inc. shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.

Unless otherwise required by applicable law, the parties agree that the state and federal courts located within the State of New Jersey shall have exclusive jurisdiction over any dispute arising from these Terms. Purchaser irrevocably consents to the personal jurisdiction and venue of such courts.

20. Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.

Any invalid or unenforceable provision shall be interpreted, if possible, to accomplish its intended purpose while preserving the validity and enforceability of the remaining Terms.

21. No Waiver

No failure or delay by Foundation Aminos Inc. in exercising any right, remedy, or provision under these Terms shall constitute a waiver of that right or remedy.

Any waiver shall be effective only if made in writing and signed by an authorized representative of Foundation Aminos Inc.

A waiver of any breach shall not constitute a waiver of any subsequent or similar breach.

22. Entire Agreement

These Terms, together with any policies or notices expressly incorporated by reference, including our Privacy Policy, Shipping Policy, Refund Policy, and any Research Use Only disclaimers published on the Site, constitute the complete and exclusive agreement between Foundation Aminos Inc. and the Purchaser regarding access to and use of the Site and the purchase of Products.

These Terms supersede all prior or contemporaneous communications, representations, understandings, and agreements, whether oral or written, relating to the same subject matter.

23. Modifications to These Terms

Foundation Aminos Inc. reserves the right to modify, update, or revise these Terms at any time in its sole discretion.

Changes become effective immediately upon publication on the Site unless otherwise stated.

Your continued access to or use of the Site following the posting of revised Terms constitutes your acceptance of those revisions.

Purchasers are encouraged to review these Terms periodically for updates.

24. Electronic Acceptance

By accessing the Site, creating an account, placing an order, completing a purchase, or otherwise interacting with Foundation Aminos Inc. electronically, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

You further agree that your electronic acceptance of these Terms constitutes your legal signature and has the same force and effect as a handwritten signature to the fullest extent permitted by applicable law.
